Results of photometric (in color bands B, V, and R(c)) and kinematic studies of the peculiar galaxy NGC 2748 are presented. The mass distribution is represented by two-component model consisting of an exponential disk and a spherical halo. It is shown that the main observational features of NGC 2748 - in particular, the presence of diffuse formations extended along the minor axis and the existence of a radial velocity gradient along the minor axis - are most likely a consequence of accretion onto the galaxy of gas from a dwarf satellite.
