The author draws attention to a new contractual structure mediating a complex
obligation – an escrow agreement. The unconditional advantage of the design of an
escrow agreement, as opposed to an escrow account, is considered to be disconnected
from the banking sector, which is experiencing significant crisis situations. Due to the
possibility of depositing book-entry securities, the potential possibility of applying an
escrow agreement to mergers and acquisitions of companies is being considered. It
concludes that the escrow institution opens up new opportunities in the field of
structuring transactions and is aimed at creating an investment-attractive legal and
economic climate in the Russian Federation.
